⚠️ Important: This Is A Beta Testing Program

You are accessing a platform that is currently in closed beta testing and is NOT yet available for public or commercial use.

This Beta Testing Agreement (the “Agreement”) governs your voluntary participation in testing the Likha creator-brand marketplace platform (the “Platform”). By accessing or using the Platform during this beta testing phase, you agree to the terms below.

Key Points About Beta Testing:

  • ✅ This is a testing environment, not a commercial platform
  • ✅ No payments or commercial transactions are enabled during beta
  • ✅ No platform fees will be charged during beta testing
  • ✅ Participation is voluntary and for testing purposes only
  • ✅ The platform operator is completing regulatory registrations required for public launch
  • ✅ Beta testing may be suspended or terminated at any time without notice
  • ✅ You are a tester, not a customer or client

1. Parties and Platform Status

1.1 Platform Operator

This Platform is currently operated by:

Entity Registration Status:
Formal incorporation as Crealabs (One Person Corporation) with the Securities and Exchange Commission (SEC) is currently in process. Upon completion of SEC registration, National Privacy Commission (NPC) registration, and Department of Trade and Industry (DTI) registration, the Platform will transition from beta testing to full public launch, and a new Terms of Use agreement will be issued.

Estimated Timeline:

  • SEC Registration (Crealabs OPC): Targeted Q2 2026
  • NPC Registration (Personal Information Controller): Targeted Q2 2026
  • DTI Registration (Business Name): Targeted Q2 2026

1.2 What Is Beta Testing?

Beta testing is a software development phase where a limited group of users test the Platform to:

  • Identify bugs, errors, and technical issues
  • Provide feedback on user experience and features
  • Help improve functionality before public launch
  • Test workflows, integrations, and platform performance

You are participating as a voluntary tester to help develop the Platform.

2. Scope of Beta Testing

2.1 What You CAN Do During Beta Testing

  • ✅ Create a test profile (Brand or Creator account)
  • ✅ Browse creator profiles and brand profiles
  • ✅ Test the platform interface and features
  • ✅ Provide feedback and report bugs
  • ✅ Suggest improvements and new features
  • ✅ Connect with other beta testers for testing purposes

2.2 What You CANNOT Do During Beta Testing

  • ❌ Engage in commercial transactions or paid collaborations
  • ❌ Process real payments through the Platform
  • ❌ Expect payment processing, escrow, or fund transfers
  • ❌ Treat this as a fully operational commercial marketplace
  • ❌ Upload portfolios or content intended for commercial use
  • ❌ Rely on the Platform for business-critical operations

2.3 Payment and Commercial Transactions

CRITICAL: No payment processing or commercial transactions are enabled during beta testing.

The Platform may display features related to payments, collaboration requests, or pricing — but these are testing features only. No actual money will be transferred, processed, or held by the Platform during beta.

If you wish to collaborate or transact with other beta testers:

  • You may do so entirely outside the Platform
  • Any such arrangements are private agreements between you and the other party
  • The Platform operator has no involvement in, and assumes no liability for, any off-platform transactions
  • You acknowledge that beta testing does not create any contractual right to payment or services

3. Eligibility For Beta Testing

To participate in beta testing, you must:

  • Be at least 18 years of age
  • Have the legal capacity to enter into agreements under Philippine law
  • Provide accurate and truthful information during registration
  • Be invited to participate OR receive access through official beta channels

No Business Registration Required:
Unlike the full commercial platform (post-launch), beta testers are NOT required to have business permits, DTI registration, Mayor’s Permit, or BIR registration. This is a testing environment — you are not conducting commercial business through the Platform during beta.

4. Account Registration and Security

4.1 Test Account Creation

To participate in beta testing, you must create a test account by providing:

  • Full name
  • Valid email address
  • Password
  • Account type (Brand or Creator)
  • Optional: profile information, portfolio samples, social media links

All information provided is for testing purposes only.

4.2 Account Security

You are responsible for:

  • Keeping your login credentials confidential
  • All activities that occur under your test account
  • Notifying us immediately at [legal@joinlikha.com] if you suspect unauthorized access

4.3 Account Termination

We may suspend or terminate your beta testing access at any time, with or without notice, if:

  • You violate this Agreement
  • You provide false information
  • You engage in disruptive, abusive, or illegal behavior
  • Beta testing concludes or is paused
  • We determine, in our sole discretion, that continued access is inappropriate

You may terminate your beta testing participation at any time by:

  • Deleting your account through account settings, OR
  • Emailing [legal@joinlikha.com] with subject line “Beta Account Deletion Request”

5. Intellectual Property and Content

5.1 Platform Ownership

All Platform features, functionality, design, code, trademarks, and materials (excluding User Content) are owned by Oscar Oganiza and are protected by Philippine and international intellectual property laws.

Upon completion of SEC registration, ownership will transfer to Crealabs (OPC) as the registered legal entity.

You may not:

  • Copy, reproduce, or distribute the Platform code or design
  • Reverse engineer the Platform
  • Remove or alter any proprietary notices

5.2 Your Content Ownership

You retain all ownership rights to any content you upload during beta testing (profiles, portfolios, text, images, videos).

By uploading content to the Platform during beta testing, you grant Oscar Oganiza a limited, non-exclusive, royalty-free license to:

  • Display your content on the Platform for testing purposes
  • Use your content internally to improve the Platform
  • Store your content on servers and third-party hosting providers

Marketing and Promotional Use:
We will NOT use your content for marketing or promotional purposes without your explicit written consent.

5.3 Tester-to-Tester Content (Important)

If you create content for another beta tester as part of a test collaboration:

  • All IP ownership is determined by private agreement between you and the other tester
  • The Platform operator has no involvement in IP ownership disputes
  • You are strongly encouraged to document any IP agreements in writing
  • Beta testing does not create any default IP ownership rules

We are not responsible for IP disputes arising from test collaborations.

6. Prohibited Conduct

You agree NOT to:

Content Violations:

  • Upload illegal, defamatory, obscene, pornographic, harassing, or hateful content
  • Violate any third-party intellectual property rights
  • Impersonate any person or entity
  • Post false or misleading information

Platform Abuse:

  • Use the Platform for fraud, scams, or deceptive practices
  • Scrape, harvest, or collect data about other beta testers without authorization
  • Interfere with or disrupt Platform operations or security
  • Use bots, scripts, or automated tools without written consent
  • Attempt to gain unauthorized access to Platform systems

Illegal Activities:

  • Engage in money laundering, terrorism financing, or other financial crimes
  • Use the Platform for any purpose that violates Philippine law

Violation of this Agreement may result in immediate termination of beta testing access and potential legal action.

7. Data Privacy

Your personal information is handled in accordance with our Privacy Policy, which is incorporated into this Agreement by reference.

Key Privacy Points During Beta:

  • We collect minimal personal information necessary for testing
  • Data is stored securely on cloud servers (may be located outside the Philippines)
  • We comply with Republic Act No. 10173 (Data Privacy Act of 2012)
  • NPC registration as Personal Information Controller (PIC) is in process
  • Your data will be deleted or migrated according to your preference when beta testing concludes

8. No Warranties – Beta Software Disclaimer

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE” FOR TESTING PURPOSES ONLY.

WE MAKE NO WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • The Platform will be uninterrupted, secure, or error-free
  • The Platform will meet your expectations
  • Any data or content will be accurate or reliable
  • The Platform will function without bugs or technical issues
  • Beta testing will continue for any specific duration
  • The Platform will ever launch publicly

THIS IS BETA SOFTWARE. EXPECT BUGS, ERRORS, DOWNTIME, AND CHANGES.

You acknowledge that:

  • Beta testing involves unstable, incomplete software
  • Features may be added, removed, or changed without notice
  • Your account or data may be reset during testing
  • The Platform may be offline for extended periods
  • We may terminate beta testing at any time

YOU ASSUME ALL RISK ASSOCIATED WITH USING BETA SOFTWARE.

9. Limitation Of Liability

TO THE FULLEST EXTENT PERMITTED BY PHILIPPINE LAW:

9.1 No Liability for Beta Testing Issues

We are NOT liable for:

  • Technical issues, bugs, errors, or Platform downtime
  • Loss of data, content, or account information
  • Any decisions you make based on Platform features or testing
  • Interactions between beta testers
  • Any off-platform transactions or collaborations

9.2 No Liability for Third-Party Services

We are NOT liable for:

  • Failures of third-party services (hosting, email, etc.)
  • Content or conduct on linked third-party websites

9.3 Maximum Liability Cap

IN NO EVENT SHALL OSCAR OGANIZA BE LIABLE FOR ANY DAMAGES ARISING FROM YOUR PARTICIPATION IN BETA TESTING.

MAXIMUM LIABILITY (IF ANY): PHP 1,000 (ONE THOUSAND PESOS) PER PARTICIPANT.

WE ARE NOT LIABLE FOR:

  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or business opportunities
  • Reputational harm or emotional distress

You participate in beta testing at your own risk.

10. Indemnification

You agree to indemnify, defend, and hold harmless Oscar Oganiza (and upon incorporation, Crealabs and its officers and employees) from any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising from:

  • Your use of the Platform during beta testing
  • Your violation of this Agreement
  • Your violation of any law or third-party rights
  • Any content you upload to the Platform
  • Any disputes with other beta testers

This indemnification obligation survives termination of your beta testing participation.

11. Dispute Resolution

11.1 Disputes Between Beta Testers

We are not responsible for resolving disputes between beta testers.

If you have a dispute with another beta tester (regarding content, collaboration, IP ownership, or any other matter):

  • You must resolve it directly with the other party
  • We have no obligation to mediate or intervene
  • You may pursue legal remedies independently if necessary

11.2 Disputes with Platform Operator

If you have a dispute with Oscar Oganiza regarding this Agreement or the Platform, you agree to:

  1. Informal Resolution (Required First Step):
    Contact us at [legal@joinlikha.com] and attempt to resolve the matter informally within 30 days.
  2. Governing Law:
    This Agreement is governed by the laws of the Republic of the Philippines.
  3. Jurisdiction:
    If informal resolution fails, any legal action must be filed in the courts of Cabanatuan City, Nueva Ecija, Philippines.
  4. Waiver of Class Action:
    You agree to resolve disputes on an individual basis only, and waive any right to participate in class action lawsuits.

12. Beta Testing Conclusion and Transition

12.1 End of Beta Testing

Beta testing will conclude when:

  • All regulatory registrations (SEC, NPC, DTI) are complete, OR
  • We decide to terminate the beta program, OR
  • The Platform launches publicly

We will provide at least 30 days’ notice before concluding beta testing (except in cases of emergency, legal requirement, or security issues).

12.2 Your Options When Beta Ends

Upon conclusion of beta testing, you will have the following options:

Option 1: Transition to Full Platform

  • Review and accept the new Terms of Use (for the public platform)
  • Migrate your test account to a full user account
  • Continue using the Platform under commercial terms

Option 2: Request Data Deletion

  • Request deletion of your account and all personal data
  • We will delete your information within 90 days

Option 3: Do Nothing

  • Your test account will be archived after 90 days
  • Your personal data will be deleted in accordance with our Privacy Policy
  • You may not access the Platform after beta testing concludes unless you create a new account and accept the public Terms of Use

12.3 No Obligation to Launch

IMPORTANT: We have no obligation to launch the Platform publicly or continue operations after beta testing.

Beta testing may conclude without a public launch if:

  • Regulatory registrations cannot be completed
  • Platform development is discontinued
  • Business circumstances change

You have no claim against us if the Platform does not launch publicly.

13. Feedback and Suggestions

13.1 Encouraged Feedback

We encourage you to provide feedback, suggestions, bug reports, and feature requests during beta testing.

You may submit feedback by:

  • Email: [legal@joinlikha.com]
  • Platform feedback form (if available)
  • Direct communication with the Platform operator

13.2 Feedback License

By providing feedback, you grant us a perpetual, irrevocable, worldwide, royalty-free license to:

  • Use, implement, and incorporate your feedback into the Platform
  • Modify, improve, or develop features based on your suggestions
  • Use your ideas for any purpose without compensation or attribution

You waive any claims to ownership or compensation for feedback provided during beta testing.

14. General Provisions

14.1 Entire Agreement

This Beta Testing Agreement, together with the Privacy Policy, constitutes the entire agreement between you and Oscar Oganiza regarding beta testing participation.

14.2 Amendments

We may modify this Agreement at any time by:

  • Posting the updated Agreement on the Platform
  • Notifying you via email or Platform notice

Your continued participation in beta testing after changes take effect constitutes acceptance of the updated Agreement.

14.3 Severability

If any provision of this Agreement is found invalid or unenforceable, the remaining provisions remain in full force and effect.

14.4 No Waiver

Our failure to enforce any provision does not constitute a waiver of that provision or our right to enforce it in the future.

14.5 No Assignment

You may not assign or transfer this Agreement without our written consent. We may assign this Agreement to any successor entity without your consent.

14.6 Force Majeure

We are not liable for failure or delay in performance due to circumstances beyond our reasonable control, including:

  • Acts of God, natural disasters, pandemics, or public health emergencies
  • War, terrorism, civil unrest, or government actions
  • Internet service failures, cyberattacks, or technical disruptions
  • Labor disputes or supply chain disruptions

14.7 Language

This Agreement is written in English. Any translation is for convenience only. In case of conflict, the English version prevails.

14.8 Survival

The following sections survive termination of this Agreement: Section 5 (Intellectual Property), Section 9 (Limitation of Liability), Section 10 (Indemnification), Section 11 (Dispute Resolution), and Section 13.2 (Feedback License).

16. Acknowledgement and Acceptance

BY CREATING AN ACCOUNT OR ACCESSING THE PLATFORM, YOU ACKNOWLEDGE THAT:

✅ You have read and understood this Beta Testing Agreement
✅ You agree to be bound by all terms and conditions
✅ You understand this is a testing environment, not a commercial platform
✅ You understand no payments or commercial transactions are enabled
✅ You are participating voluntarily as a tester
✅ You understand the Platform operator is completing regulatory registrations
✅ You understand beta testing may be terminated at any time
✅ You accept that the Platform is provided “AS IS” with no warranties
✅ You accept the limitation of liability and indemnification terms
✅ You understand a new Terms of Use will be required for public platform use

If you do not agree to these terms, you must immediately stop using the Platform and delete your account.

17. Transition Notice

This Beta Testing Agreement will be replaced by formal Terms of Use upon:

  1. Completion of SEC registration (Crealabs OPC)
  2. Completion of NPC registration (Personal Information Controller)
  3. Completion of DTI registration (Business Name)
  4. Public launch of the Platform

All beta testers will receive notice and be required to review and accept the new Terms of Use to continue using the Platform.

Until then, this Beta Testing Agreement governs your participation.

  • Account resets may occur without notice
  • Downtime for maintenance and updates
  • Limited support (best-effort basis)
  • No service level agreements (SLAs)
  • No guarantee of data preservation

Your Role as Beta Tester:

  • Test platform features and workflows
  • Report bugs and technical issues
  • Provide honest feedback on user experience
  • Suggest improvements and new features
  • Help identify security vulnerabilities
  • Participate in surveys or feedback sessions (optional)

This Beta Testing Agreement is designed to protect both the Platform operator and beta testing participants during the development phase. It will be replaced by comprehensive Terms of Use upon public launch.
